Key Responsibilities

•Advise on corporate law and housekeeping and governance to ensure compliance with applicable Dutch and German regulatory requirements.
•Support corporate housekeeping, entity management, and group structuring activities in collaboration with internal stakeholders.
•Develop, maintain, and advise on policies and procedures related to corporate governance themes, as well as other legal templates and documentation.
•Support the preparation of annual reporting materials, shareholder communications, and documentation related to annual general meetings.
•Support the preparation of managing board and supervisory board meeting materials, the corporate calendar and meetings including follow-up actions.
•Monitor legal and regulatory developments and translate changes into practical recommendations and business-focused guidance.
•Identify legal risks and recommend appropriate mitigation measures.
•Drive continuous improvement of governance processes, legal policies, and compliance frameworks to enhance efficiency and transparency.
